Terms and Conditions
1. Definitions
- 1.1 Access Address
- Website address (https://portal.docdigitizer.com/ or other) granted by service provider.
- 1.2 Access to Software
- Software accessed through Internet via browser or API.
- 1.3 API Key
- Unique identifier authenticating user/software for DocDigitizer API use.
- 1.4 Customised Subscription Plan
- Document specifying services for customized subscription, including subscription model, quantity, and term. Customised plan terms prevail over general Terms of Service.
- 1.5 DPU
- Document processing unit allowing extraction of up to 15 fields per document.
- 1.6 Free Demo Subscription Plan
- Document specifying services for free demo model, including subscription details. Free demo terms prevail over general Terms of Service in contradictions.
- 1.7 Ownership of the Software
- Service provider owns the software.
- 1.8 Self-Service or Full Service Subscription Plan
- Document specifying services for Full-Service or Self-Service models, including price, payment terms, and subscription term. Subscription plan terms prevail in contradictions.
- 1.9 Service
- DocDigitizer's data extraction service provided in SaaS model.
- 1.10 Service Level Agreement (SLA)
- Agreement defining service availability between DocDigitizer and Client, constituting Appendix 1. SLA terms prevail in contradictions.
- 1.11 Service Payment
- Client pays rental fee for software use during contracted period.
- 1.12 Service Provider
- IMP – Intelligent Morphing Portals, Lda. (DocDigitizer).
- 1.13 Software
- DocDigitizer's software.
- 1.14 Software Location
- Software installed on service provider's server.
- 1.15 User
- Client (company or individual contracting service access).
- 1.16 User Account
- User's email address.
- 1.17 Credits
- DPUs requested monthly with maximum processing speed and data delivery time.
- 1.18 Package
- Subscription including limited monthly credits with speed limits and delivery time under established fee.
- 1.19 Document Processed
- Any transaction initiated by customer sending binary file to DocDigitizer's API regardless of outcome.
- 1.20 Subscription Plan
- Contract between DocDigitizer and Client establishing commercial relationship concerning services.
2. Scope of Service
2.1 DocDigitizer grants limited, non-exclusive, revocable, non-transferable authorization to the service, subject to acceptance and compliance with defined terms.
2.2 Changes:
2.2.1 DocDigitizer updates terms and notifies users via email, effective first day of month following communication. Users may stop using software end of notification month without penalty if disagreeing. Using service after change takes effect constitutes acceptance.
2.2.2 DocDigitizer may add features or update service design anytime without notice.
2.2.3 DocDigitizer reserves right removing or amending features for security or legal obligation, notifying users of effective date.
2.2.4 Feature removal communicated via email, effective first month-end following notification. Users may stop using software without penalty if disagreeing. DocDigitizer reimburses prepaid amounts. Using service constitutes acceptance of changes.
2.3 DocDigitizer may impose service limits, including document size limits, upload/download rate maximums, and order expiration times to guarantee quality and stability.
2.4 Violating conditions gives DocDigitizer right to temporarily or permanently suspend service use.
2.5 User accepts DocDigitizer cannot be held responsible for uploaded content.
2.6 User understands service is SaaS model supported by DocDigitizer's infrastructure. DocDigitizer solely manages supporting infrastructure.
3. Terms of Use
3.1 Client expressly understands and accepts that DocDigitizer cannot be held responsible, in any way, for damages of any kind resulting from the use of the Service.
3.2 DocDigitizer reserves right temporarily suspending service access anytime, with or without notice.
3.3 DocDigitizer may suspend service whenever detecting software changes/corrections needed, informing user reasonably. User accepts automatic provision of these changes as part of service.
3.4 Permanent service discontinuation requires minimum 120 days' notice before effective date.
3.5 During notice period, client removes all information from system. After account closure, DocDigitizer irreversibly eliminates all existing data, except as provided in following paragraph.
3.6 DocDigitizer bears no responsibility toward user or third parties for damages from account/service termination or suspension.
3.7 DocDigitizer licensing activates only after successful collection.
4. Subscription Models
4.1 Service acquired on monthly or annual subscription as agreed with client.
4.2 Document type definition and data model made according to agreed proposal. Documents/data outside agreed scope not subject to service levels even if counted for billing/credit consumption.
4.3 Once data extracted and delivered, DocDigitizer does not retain possession of document/file data. Unless otherwise agreed, all documents and concerning data deleted after extraction and delivery.
4.4 Service available in three subscription models: Free Demo, Full-Service, and Self-Service.
4.5 Client may request customised solution subject to evaluation, availability, and DocDigitizer agreement.
5. Free Demo Subscription
5.1 Upon request, DocDigitizer provides demo subscription/free trial with DocDigitizer-predefined duration.
5.2 User cannot use free trial results supporting recurring operations, business activities, or generating revenue.
5.3 Demo subscription limited in functionality and usage. No guaranteed commitment to quality, delivery time, or availability.
5.4 Demo model provides no technical support or maintenance.
5.5 DocDigitizer may cancel demo access anytime without notice.
6. Full-Service Subscription
6.1 Full-Service model acquired as monthly/annual subscription with maximum monthly credits (DPU), processing speed (OS), and delivery time (SLA).
6.2 User decides whether sending documents. Each sent document consumes DPUs based on extracted information amount.
6.3 Processed document data available after defined maximum processing time, considering Portuguese public holidays and business hours 9 AM–6 PM Monday–Friday.
6.4 Data delivery rate limited to maximum contracted processing speed.
6.5 Processed OCR documents have minimum 99% precision degree, counted in 12-month periods from subscription start, excluding rejected documents.
6.6 Document Rejection Reasons:
- 6.6.1 Document type classification inconsistent with approved commercial proposal.
- 6.6.2 Document shows original data alteration signs in validation-needed fields.
6.7 Rejected documents consume DPU credit and processing speed. Each rejection counts as one DPU.
6.8 Same information in different document forms/formats — DocDigitizer does not ensure returned data consistency.
6.9 Error reports for non-compliance are user responsibility, via email to sales@docdigitizer.com.
6.10 Non-compliance results in DocDigitizer crediting 10 free DPUs per non-compliant document.
6.11 Maximum daily documents subject to daily responsible-use limit (monthly DPUs / 22 working days).
6.12 No DPU transition between months, except annual-paying clients may transfer up to 10% of contracted monthly DPUs.
6.13 Credits consumed above contractual DPUs invoiced at €0.65 if exceeding 10% (annual) or 0% (monthly).
7. Self-Service Subscription
7.1 Self-Service model is monthly/annual subscription with maximum monthly credits (DPU).
7.2 User decides whether sending documents. Each document consumes DPUs based on extracted information.
7.3 Processed document data available after maximum processing time defined at service outset.
7.4 Processed document data not subject to any quality guarantee.
7.5 Same information in different forms/formats — DocDigitizer does not ensure returned data consistency.
7.6 Error reporting is user sole responsibility, via email to sales@docdigitizer.com.
7.7 Maximum daily documents subject to responsible-use limit (monthly DPUs / 22 working days).
7.8 No DPU transition between months except annual-paying clients (up to 10%).
7.9 Excess credits invoiced at €0.65 if exceeding 10% (annual) or 0% (monthly).
8. Account's Terms of Use
8.1 Service subscription requires full identification, valid email address, and other requested information.
8.2 Login account for single user only; sharing single login across multiple users prohibited.
8.3 User exclusively responsible for account, API key, and password security.
8.4 Disclosing software-generated information, user declares ownership, exempting DocDigitizer from any responsibilities.
8.5 User cannot use service for illegal, unlawful, fraudulent, or unauthorized purposes.
9. Abusive or Suspicious Usage
9.1 Each subscription defined based on monthly document/page/field volume.
9.2 Monthly volume divided by month days determines maximum daily document processing.
9.3 Exceeding maximum daily volume means excess documents not subjected to SLAs.
9.4 DocDigitizer reserves right suspending account for abusive/suspicious use.
9.5 Suspension aims: protecting operational performance, preventing misuse, avoiding unexpected charges.
9.6 Customer notified of excessive usage for investigation and resolution.
9.7 Increased consumption expected — customer may request upgrade.
9.8 DocDigitizer reserves right charging €500 reactivation fee for recurring abusive use.
9.9 Repeated abusive use may result in subscription cancellation.
10. Payment Terms, Refund, Upgrade, Downgrade
10.1 Service prices released on request directly to client.
10.2 Renewal prices released on request directly to client.
10.3 Payment via bank transfer, ATM, direct debit, credit card, or PayPal.
10.4 The price of the Service is charged in advance, according to the contracted frequency, and is non-refundable.
10.5 All subscriptions automatically renew last contract day based on same period and monthly volume.
10.6 Processing documents above maximum contracted volume incurs à la carte credits at €1.20 per excess DPU.
10.7 User responsibility actively managing subscription and DPU consumption.
10.8 User responsibility requesting cancellation, downgrade, or upgrade.
10.9 DocDigitizer may cancel subscription for non-payment. Reactivation subject to current price list.
10.10 DocDigitizer may change price list and service model without prior notice.
11. Intellectual Property Rights
11.1 All service intellectual property rights reserved to DocDigitizer.
11.2 DocDigitizer may reproduce, modify, commercialize the service as it deems best.
11.3 User not granted copyright within service use scope; only granted use right per DocDigitizer terms.
11.4 Corporate names, trademarks, and distinctive signs protected per applicable industrial property provisions.
12. Warranties, Limited Liability, and Indemnities
The User assumes risk when using the Service, provided "as is" and "as available." Technical support is available via email to active account holders. DocDigitizer bears no responsibility for internet connectivity issues.
The Service Provider makes no express or implied warranties, including fitness for particular purposes. DocDigitizer has no obligation to indemnify, defend, or hold harmless the Client unless this agreement specifically provides for such an indemnity.
The Provider does not warrant error-free operation or uninterrupted service. No warranty applies to software modifications made by parties other than DocDigitizer. The Provider assumes no liability for data accuracy issues the Client uploads.
DocDigitizer bears no liability for incidental, consequential, or indirect damages, including lost profits or data destruction. The total liability of DocDigitizer and its Partners to the Client shall not exceed the amount that the Client paid for the Service.
13. Confidentiality, Privacy and Personal Data Protection
DocDigitizer and clients may exchange confidential information, defined as any information related to technology, professional secrets, technical or business knowledge, business plans or strategies, clients, and prices.
Both parties commit to accessing information only as necessary, preventing unauthorized access, and promptly notifying each other of breaches.
DocDigitizer does not retain document data after extraction delivery. Data elimination occurs within thirty days maximum after processing completion or delivery, unless legal requirements mandate retention.
The curation team may view transaction data to guarantee service quality. DocDigitizer may subcontract data validation while applying identical privacy and security rules to subcontractors.
DocDigitizer complies with GDPR (Regulation EU 2016/679), implementing appropriate technical and organizational measures. A Data Processing Agreement (Appendix 2) governs personal data processing terms.
14. Feedback
DocDigitizer does not agree to treat as confidential any Feedback provided by the Client. DocDigitizer retains unrestricted rights to use, profit from, disclose, publish, or exploit feedback without compensation.
15. Term, Transferability and Termination
Service becomes effective upon subscription and continues until expiration. No fund returns apply if clients discontinue during the term.
The agreement automatically renews on successive periods matching the original subscription unless the Client notifies DocDigitizer of non-renewal intent 30+ days before renewal.
Either party may terminate within 30 days via formal written notice if the other breaches the Agreement. The breaching party receives 30 days to remedy after receiving detailed notice.
DocDigitizer reserves the right to transfer, assign, or delegate this Agreement to any third party without client consent. Reasonable notice will be provided via email or prominent service notices.
If clients reject transfer terms, they may terminate within 30 days without penalty, receiving pro-rata refunds for pre-paid remaining subscription periods.
16. No Waiver
Neither party will be deemed to have waived any of its rights under this Agreement by lapse of time or by any statement or representation other than by an authorized representative in an explicit written waiver.
17. Force Majeure
Delays or defaults not constituting payment failure, when caused by hurricanes, earthquakes, epidemics, acts of nature, civil disorder, war, terrorism, governmental acts, expropriation, embargo, legal changes, shelter-in-place orders, or causes beyond reasonable control, do not constitute breaches.
18. Severability
If provisions become invalid or unenforceable, courts interpret them maximally within applicable law while remaining provisions continue in full force.
19. Notices and Communications
Parties adopt registered domiciles for legal notification purposes. Notifications sent to stated addresses constitute effective notification.
20. Miscellaneous
The Agreement constitutes the entire understanding, superseding prior communications. DocDigitizer reserves the right to unilaterally modify the terms without prior notice. Modifications take effect immediately unless stated otherwise.
21. Applicable Law and Jurisdiction
The Agreement is governed exclusively by Portuguese Law. For dispute resolution, parties assign exclusive jurisdiction to the District Court of Lisbon, Portugal.
